Terms and conditions of sale

These terms govern every sale concluded by New Energy Lab SRL with a professional buyer. They prevail over the buyer's purchasing terms, unless we accept a written derogation.

Last updated: 18 September 2026

1. Scope

These terms apply to all offers, orders and sales by New Energy Lab SRL (hereinafter "we"), Rue Johannes Kepler 3/19, 1357 Hélécine, VAT BE 1027.284.537, to professional buyers. Any order implies unreserved acceptance of these terms. We do not sell to consumers.

2. Offers and orders

Our offers and the prices on the site are non-binding. An order, including a purchase order sent from the trade area, binds us only after our written confirmation. Specifications supplied by the buyer serve only for documentation and cannot be enforced against us. Any change to an order is valid only if we accept it in writing. Claims relating to our confirmation must reach us in writing within 8 days, failing which they are time-barred.

3. Prices

The list prices shown on the site are the manufacturers' public prices, excluding VAT. Net prices assigned to a trade account are confidential and personal. Unless stated otherwise, prices are ex warehouse, standard packaging included, transport and insurance excluded. We may pass on any increase in manufacturer prices or transport costs occurring between the order and the delivery, informing the buyer before dispatch.

4. Cancellation

Cancellation by the buyer of a confirmed order not yet fulfilled automatically gives rise to fixed and irrevocable compensation of 25% of the total price, covering administrative costs and loss of profit. If the cancellation occurs after we have ordered the goods from the manufacturer, we may refuse the cancellation or claim compensation of 50% of the order amount, also covering supplier penalties or the forced take-back of the goods.

5. Delivery lead times

Lead times stated in our offers and confirmations are indicative and non-binding. A lead time is contractual only if it is expressly described as a "binding deadline" on the purchase order and accepted in writing. Even in that case, the buyer may claim compensation for delay only if it was agreed in writing beforehand, and it may not exceed 10% of the total price. Force majeure events (war, strike, fire, transport disruption, supplier failure, etc.) entitle us to revise lead times or terminate the contract without compensation.

6. Delivery and transfer of risk

Unless otherwise agreed in writing, the goods are collected by the buyer at our registered office. If delivery is our responsibility, it is carried out by the means of our choice, at the buyer's cost and risk from handover to the carrier. The buyer checks the goods on receipt and notes precise reservations on the delivery note. Any visible damage must be reported to us in writing within 48 hours with photos.

7. Acceptance

The goods are deemed accepted at the latest five calendar days after delivery, unless a precise and detailed claim is notified by registered letter within that period. Acceptance covers all apparent defects, that is, those the buyer could detect on delivery or within the following five days by careful inspection, including those relating to the characteristics and operation of the goods.

8. Payment

Our invoices are payable at our registered office, without discount, on the due date stated. Unless written special terms apply, payment is made by bank transfer before dispatch. No claim suspends the obligation to pay. We may require a bank guarantee before delivery and suspend any delivery as long as overdue invoices remain unpaid. Non-payment of an invoice on its due date makes all other invoices immediately due and payable by operation of law.

Any sum unpaid on its due date bears, automatically and without notice of default, contractual interest at the statutory rate plus 5% per year, and is increased by fixed compensation of 10% of the outstanding balance, with a minimum of €75, without prejudice to further damages. Any partial payment is applied first to costs, then to interest, then to the principal.

9. Retention of title

The goods remain our property until full payment of the price, including principal, interest and costs. The buyer may not resell, pledge or incorporate them before full payment without our written agreement. In case of non-payment, we may take back the goods at the buyer's expense.

10. Warranty and liability

The appliances are covered by the manufacturer's warranty, under its terms and durations. Our involvement is limited to relaying parts requests and warranty claims. From delivery onwards, we assume no liability other than that provided by the manufacturer's warranty, except for fraud or gross negligence on our part. We are not liable for personal injury, damage to property other than the goods sold, loss of profit or any indirect loss resulting from a defect in the goods or in their installation. Installation, connection and commissioning are the sole responsibility of the professional buyer.

11. Returns

No return is accepted without our prior written agreement. A new item, not installed, in its original packaging, may be taken back within 14 days of delivery, with return and restocking costs (15% minimum) at the buyer's expense. Items ordered specifically are not taken back.

12. Assignment

We may assign the receivables arising from the contract to a third party. Acceptance of these terms constitutes the buyer's advance consent to such assignment. A buyer who wishes to contest it must notify the assignor and the assignee by registered letter or by bailiff within 3 calendar days of becoming aware of it.

13. Data and confidentiality

The buyer's data is processed in accordance with our privacy policy. Net prices and terms assigned to an account are confidential. The buyer undertakes not to disclose them to third parties.

14. Governing law and jurisdiction

The contract is deemed concluded at our registered office and is governed by Belgian law. Any dispute falls under the exclusive jurisdiction of the courts of the judicial district of Walloon Brabant, without prejudice to our right to bring proceedings before the court of the buyer's registered office.
